CADS – NCD By-Laws and Operating Policies

The by-laws were approved by our members at CADS – NCD’s 2013 Annual General Meeting. Amendments were made to ensure the current by-laws conform with the Canada Not-for-profit Corporations Act. In June 2018, the by-laws were updated to modernize our organization’s name, programs, and board composition.

Operating policies were established in 2003 and have been amended several times most recently in spring 2012.

CADS – NCD Board of Directors

Our Board brings a diverse range of experiences and expertise along with the dedication, passion, and commitment to implement CADS – NCD’s vision, mission, strategic direction and operational approaches necessary for the organization to provide our programs and services.

The by-laws specify a Board of Directors of thirteen members, all elected by the membership. Seven are elected as a representative from each of CADS – NCD’s seven programs. Another six are elected as Directors at Large.

The Directors at Large form the Executive and the program representatives represent and often co-ordinate a specific program. The Board of Directors is responsible to develop strategy and policy for the organization to fulfill its vision and mission. It is also responsible for ensuring that all CADS – NCD programs operate at the high standards expected by CADS.

The Board of Directors meets at least six times a year, including at an Annual General Meeting held in the Fall. The minutes of the meetings are available to all members.

CADS – NCD Finances

The Canada Not-for-profit Act and CADS – NCD by-laws require that the Board of Directors hire a Public Accountant to conduct an annual review of our financial affairs. Following the membership passage of new by-laws in 2013, in order to conform with the Act, the Board hired BDO Canada to conduct a financial review for each of the 2013-2014 and 2014-2015 fiscal years. BDO’s financial reviews for 2013-2014 to 2015-2016 are attached below.
